1. Who we are
bidriveauto is operated by 16525458 Canada Inc. (a Zündpunkt initiative), an Ontario business ("bidriveauto", "we", "us"). bidriveauto sends dealers trade-in leads from customers who signed up on CarTradeEasy, our consumer website. "You" means the dealership that signed up and everyone who uses bidriveauto on its behalf. By signing up, opening a lead or making an offer, you agree to these terms.
2. Who can join
- You must be a motor vehicle dealer registered and in good standing with the regulator in your province (in Ontario, OMVIC), and you must stay that way while you use bidriveauto.
- The information you give us (dealership name, contacts, regions served) must be accurate. Tell us when it changes.
- We may decline or remove a signup at our discretion, for example if we can't verify the dealership.
3. How leads work
- Alerts and previews. When a customer in a region you serve finishes their inspection, we send your contacts an alert with a private link. The preview is free.
- Opening a lead. Opening a lead unlocks the full trade-in. The lead fee applies when you open it.
- Pro head start. Pro dealers can open a lead as soon as it arrives. Tire Kicker dealers get the same alert but can open it 2 hours later.
- Private links. Lead links are tied to your dealership. Don't forward them outside your team.
- No guarantee of volume. How many leads you get depends on customer activity in your regions. We don't promise a number of leads, offers or sales.
4. Your offers
- You can make one offer per lead, and it can't be revised once sent.
- Offers must be made in good faith, based on the inspection you were shown. You may attach conditions (for example, an in-person inspection or a clean vehicle history report).
- If the customer picks your offer, you are expected to honour it, subject only to the conditions you stated and to the vehicle matching the inspection. You may change the price only for a material difference that wasn't disclosed in the inspection, and you must explain the difference to the customer.
- OMVIC and Regulatory Compliance: The sale or trade is entirely between you and the customer. We are not a party to it and don't handle the vehicle, the payment or the paperwork. You are strictly responsible for complying with all OMVIC (or your provincial regulator's) regulations, including the timely payout of consumer vehicle loans, proper mandatory disclosures, transferring ownership, and following all laws that apply to your dealership.
- Inspections are completed by customers using PAVE, and we use AI to summarise them. They are a starting point for your offer, not a guarantee. Always verify the vehicle in person.
- Dealers never see a customer's name, phone, email or postal code before the customer picks. Only the dealer whose offer is picked receives them.
- You may use a customer's information only to complete the transaction they picked you for. Don't add them to marketing lists, sell or share their details, or contact them about other things without their separate consent.
- Inspection reports and photos are confidential. You may share them inside your dealership and with a wholesale or appraisal partner only to value the vehicle. Don't publish or resell them.
- You must handle customer information as Canadian privacy law requires (including PIPEDA) and follow Canada's Anti-Spam Legislation (CASL) when you contact customers.
- Don't try to identify or contact a customer before they pick your offer.
6. Plans and fees
All prices are in Canadian dollars. Applicable sales tax (HST, or GST where HST doesn't apply) is added on top. Lead fees are charged when you open a lead, and a lead is never charged twice. Lead fees are non-refundable, except if charged in error or as a discretionary ghost credit.
7. Pro terms and automatic renewal
Your first Pro term starts the day you pay for it. Each term is paid in full up front. Pro renews automatically at the end of each term for the same length, and each renewal is charged to your card on file at the rate in effect at that time. To cancel, email hello@bidriveauto.com from an email address on your account at least 30 days (3-month package), 60 days (6-month package) or 90 days (12-month package) before your current term ends. If your notice arrives later than that, your Pro renews one more time and ends at the end of that next term. There is no cancel button in your account or in Stripe. Written notice to us is how you cancel.
8. Pausing Pro
You can pause Pro for up to 30 days in any 12-month period. Use the Pause button on your bidriveauto Valet page, or ask us by email. While paused, you still get lead alerts and the Pro head start. Opening a lead while paused ends the pause right away. The days you were paused are added to the end of your current term.
9. Payment
Every account needs a valid card on file. Cards are stored and charged by our payment processor, Stripe. You authorise us to charge your card for each Pro term, each lead you open, and applicable tax. If a payment fails, we may stop you from opening leads until you update your card, and a Pro renewal that still can't be collected may end your Pro plan.
Founding Pro is open to the first 15 dealers who join Pro. We may offer promotions which are personal, non-transferable, and may be withdrawn if misused.
11. Conduct
You agree not to:
- make bait offers you don't intend to honour, or pressure customers into a different deal;
- misrepresent your dealership, your offer or the customer's vehicle;
- copy, scrape, resell or publish leads, reports or other content from bidriveauto;
- interfere with bidriveauto or try to reach parts of it you aren't meant to;
- Circumvent the platform: Attempting to identify or contact a customer outside of the platform prior to selection to avoid lead fees is strictly prohibited. Doing so will result in immediate suspension, and your dealership will be retroactively billed for the applicable lead fees for any circumvented leads.
- use bidriveauto in a way that breaks the law or these terms.
12. Suspension and ending
We may suspend or close your account if you break these terms, if customers report serious problems, or if you're no longer a registered dealer. Fees already paid aren't refunded when an account is closed for these reasons. We may also stop offering bidriveauto, or end your account for any other reason, with 30 days' notice.
13. Disclaimers and liability
- bidriveauto is provided "as is". We don't guarantee that leads, inspections, AI summaries or customer information are complete or error-free, or that the service will be uninterrupted.
- We aren't responsible for a customer's or another dealer's actions, for the condition or history of any vehicle, or for any deal you make or don't make.
- To the extent the law allows, we aren't liable for indirect or consequential losses. Our total liability to you for any claim is limited to the fees you paid us in the 3 months before the claim arose.
14. Indemnity
You will defend, indemnify and hold harmless 16525458 Canada Inc. and its directors, officers, employees and contractors from and against any claim, demand, action, fine, penalty, loss, damage, liability, cost or expense (including reasonable legal fees) brought by a third party (including a customer, another dealer or a regulator) that arises from or relates to:
- any offer you make, or any purchase, sale, trade-in, financing or other transaction between you and a customer, including the vehicle's price, condition, history, title, liens and paperwork;
- Regulatory Fines & Consumer Claims: Any OMVIC (or other provincial regulator) fines, disciplinary actions, or Consumer Protection Act claims brought against your dealership due to a failure to honor a good-faith offer, improper loan payouts, or mandatory disclosure violations.
- your dealings with customers, including what you say to them and how you contact them;
- how you collect, use, store or disclose customer information, including any breach of privacy or anti-spam laws;
- your breach of these terms, or of any law or regulation that applies to your dealership (including your provincial dealer regulations); or
- the acts or omissions of anyone using your account or lead links.
We will tell you promptly about any claim we ask you to cover, let you control its defence with counsel reasonably acceptable to us, and cooperate at your cost. You may not settle a claim in a way that admits fault on our behalf or imposes obligations on us without our written consent.
